Terms of service

1. Authority and legal standing

If you accept these terms on behalf of a company, you confirm that you are authorised to bind it. If you accept them as an individual, you confirm that you are of legal age and able to enter into a contract. Regainables is not liable for consequences of a lack of authority or legal capacity on the Client's side; the Client bears full responsibility for them.

2. Accounts and security

Using our services requires an account. We may ask for further information to provide the services, such as company, payment and invoicing details.

We protect your information with industry-recognised security measures, but no system is completely secure. Keep your sign-in details confidential and report any suspicious activity or unauthorised access to us promptly. We are not liable for unauthorised access caused by events outside our control, such as shared sign-in details or breaches outside our systems.

3. Scope of services

Customer returns: the Client sends unsellable Amazon returns and similar stock to Regainables through Amazon removal orders. We sell the items in private auctions to vetted buyers and pay the Client monthly, with reporting per ASIN.

Overstock: we offer the Client's stock privately to trade buyers approved by us. The terms of each deal, including price, collection and payout, are agreed in writing before the deal.

Trade buyers: buyers are approved by us before they can see lots. Each lot comes with the resale terms agreed with the brand.

The services depend on the Client providing complete and accurate information promptly. We do not guarantee any particular outcome: results depend on the condition of the stock, demand and other factors.

4. Fees

Customer returns: Regainables charges the Client no fee. The Client pays Amazon's removal fees to Amazon.

Overstock: the commercial terms of each deal are agreed in writing before the deal.

5. Changes to these terms

We may change these terms. We will tell Clients about changes by email, in the platform or by other suitable means. Continuing to use the services after a change means accepting it; a Client who disagrees may stop using the services. We make sure changes comply with applicable law.

6. Disclaimer of warranties

The services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Clients are responsible for making sure the services fit the laws that apply to them.

7. Limitation of liability

Regainables' total liability is limited to the amounts paid by the Client to Regainables in the three months before the event giving rise to liability, except in cases of gross negligence or wilful misconduct.

8. Indemnification

Clients agree to indemnify and hold Regainables harmless from claims, losses and expenses arising directly from their use of the services, including third-party claims.

9. Other terms

Privacy: Client information is handled under our privacy policy.

Intellectual property: the content, features and trademarks of our website and platform belong to Regainables and may not be copied, modified or republished without our written permission. Notices of alleged infringement must be sent to us in writing with specific details.

Governing law and jurisdiction: these terms are governed by the laws of the Republic of Lithuania, and disputes are settled exclusively by the courts of the Republic of Lithuania.

Termination: the Client may stop using the services at any time, remaining responsible for obligations up to that point. We may terminate the services if a Client acts negligently or fails to meet its obligations.
